1. Acceptance of Terms

By downloading, accessing, or using the Monotone mobile application ("the App", "Service", "we", "us", or "our"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not download, access, or use the Service.

These Terms constitute a legally binding agreement between you and Monotone Inc. Your use of the Service constitutes your acceptance of these Terms and our Privacy Policy.

2. Description of Service

Monotone is a sleep wellness mobile application available on iOS that provides AI-powered sleep companions, soothing monotone sounds (including white noise, brown noise, and ambient audio), and personalized sleep assistance to help users fall asleep and improve sleep quality.

IMPORTANT DISCLAIMER: Monotone is a wellness and relaxation tool designed to help create a calming sleep environment. It is NOT a medical device and does not provide medical, psychological, therapeutic, or professional health advice. The AI companions provide conversational support and companionship for relaxation purposes only.

The Service is not intended to diagnose, treat, cure, or prevent any disease or medical condition, including insomnia, sleep disorders, anxiety, depression, or other health conditions. If you have a sleep disorder or medical condition, please consult a qualified healthcare professional.

The AI companions are artificial intelligence programs designed to provide comforting conversation and sleep-focused companionship. They are not real people, therapists, counselors, or medical professionals. Any suggestions, information, or responses provided by the AI should not be relied upon as professional advice. Reliance on any AI-generated content is solely at your own risk.

3. User Eligibility

You must be at least 13 years old to use this Service. By using the Service, you represent and warrant that you are at least 13 years of age. If you are between 13 and 18 years old, you must have your parent or legal guardian's permission to use the Service.

We may suspend or terminate access if we have reason to believe you do not meet the minimum age requirement.

4. Acceptable Use and Prohibited Conduct

You are solely responsible for how you use the Service and your interactions with the AI companions. You acknowledge and agree that you bear all risks associated with your use of the Service.

You agree NOT to use the Service to:

Engage in any illegal activity or violate any applicable laws or regulations
Harass, threaten, or promote violence against any individual or group
Attempt to exploit, abuse, or harm minors in any way
Violate the intellectual property rights of Monotone or any third party
Transmit malware, viruses, or any harmful code
Interfere with or disrupt the Service or servers or networks connected to the Service
Attempt to gain unauthorized access to any portion of the Service, other accounts, or systems
Use the Service to develop, train, or improve a competing product or service
Reverse engineer, decompile, or disassemble the App or attempt to extract source code
Remove, obscure, or alter any proprietary rights notices in the App
Use automated systems (bots, scrapers) to access or collect data from the Service
Impersonate any person or entity or misrepresent your affiliation with any person or entity

We reserve the right to immediately suspend or terminate your account and access to the Service, without refund, if you violate these policies. We may also report illegal activity to law enforcement authorities and cooperate with legal investigations.

5. Intellectual Property Rights

The Service, including the mobile application, software, algorithms, AI technology, user interface, design, audio content, companion personalities, and all underlying technology, is owned by Monotone Inc. and protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

License Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on your personal iOS device solely for your personal, non-commercial use.

Your Content: You retain ownership of any content you create while using the Service, including conversations with AI companions. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your interactions and usage data solely to provide and improve the Service. We do not claim ownership of your personal data or conversations.

All sleep sounds, audio content, AI companion voices, and other media provided through the Service remain the property of Monotone Inc. and may not be extracted, downloaded, or used outside the App.

6. Subscriptions and Payments

Monotone may offer subscription-based access to premium features of the Service. Subscriptions are processed through the Apple App Store, and your purchase is subject to Apple's Terms of Service and payment policies.

App Store Billing: All payments are processed by Apple through your App Store account. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). You authorize Apple to charge your payment method on file for all subscription fees.

Free Trial: We may offer a free trial period for new subscribers. If you do not cancel before the trial period ends, you will automatically be charged for a subscription. To avoid charges, you must cancel at least 24 hours before the trial period ends through your App Store account settings.

Cancellation: You may cancel your subscription at any time through your iOS Settings > App Store > Subscriptions. Cancellation will take effect at the end of your current billing period. You will retain access to premium features until the end of the paid period. Monotone does not process refunds; all refund requests must be made through Apple.

Refunds: All sales are processed by Apple and are subject to Apple's refund policies. To request a refund, contact Apple Support directly. Monotone cannot process refunds for App Store purchases.

Price Changes: We reserve the right to change subscription pricing at any time. If we increase the price of your subscription, you will be notified through the App Store, and the new price will apply to your next billing cycle after notification.

7. Account Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include, but are not limited to:

Violation of these Terms of Service
Generation of prohibited content
Fraudulent or abusive activity
Chargebacks or payment disputes
Prolonged inactivity

Upon termination, your right to use the Service will immediately cease. We may delete your account and all associated data. We are not liable to you or any third party for any termination of your access to the Service.

You may delete your account at any time through account settings. Upon deletion, all your data will be permanently removed from our servers in accordance with our Privacy Policy.

The AI companions provide companionship and conversation for relaxation purposes only. They are not therapists, counselors, psychologists, or medical professionals. Any advice, suggestions, or information provided by the AI companions should not be relied upon for medical, psychological, or professional decisions.

If you are experiencing a medical emergency, including suicidal thoughts or mental health crisis, immediately contact emergency services (911 in the US) or a crisis helpline. The Service is not equipped to handle emergencies.

9. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted, secure, or error-free
The Service will improve your sleep or resolve any sleep issues
AI companion responses will be accurate, appropriate, or suitable for your needs
Audio playback will function perfectly on all devices or network conditions
Any errors or defects in the Service will be corrected
The Service will meet your requirements or expectations

You acknowledge that AI-generated content may contain errors, inaccuracies, or inappropriate responses. We are not responsible for the quality, accuracy, or appropriateness of AI companion conversations.

LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONOTONE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your use or inability to use the Service
Any reliance on AI companion advice or information
Any impact on your sleep, health, or wellbeing
Any unauthorized access to or use of our servers or your personal information
Any interruption or cessation of the Service
Any technical issues, bugs, or errors in the App
Any errors or omissions in AI-generated content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Monotone Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

Your use of the Service
Your violation of these Terms
Your Prompts or Generated Content
Your violation of any rights of another person or entity
Your violation of any applicable laws or regulations

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware and the United States of America, without regard to conflict of law principles.

Arbitration Agreement: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall be conducted in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and us individually. You waive any right to participate in a class action, class arbitration, or any other representative proceeding.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect.
